Overview

Welcome to the Policy on Intellectual Property of The Chinyere and Chinelo Ikoku Foundation and The Alvan Azinna Chibuzo Ikoku Foundation, where polices below are provided to inform you about protections for creativity, design, ideas and innovations at The Alvan Ikoku Foundation, and to also guide your adherence to usage standards and requirements. The mission of The Alvan Ikoku Foundation, as well as the ability to do the work that fulfills such mission, is crucially dependent on intellectual property, including but not limited to copyrights, logos, names, patents, service- and trademarks.

Therefore, persons engaged in activity within, for, on behalf of, in reference to, and otherwise pertaining to The Alvan Ikoku Foundation are expected to uphold the following:

Your Agreement

ā€”Ā With respect to the Agreement you enter into with The Alvan Ikoku Foundation via the Policy on Intellectual Property, you understand and adhere to the following:

Persons Adhering to Agreement
that the Policy on Intellectual Property isĀ to be adhered to by a wide range of associated individuals and communities ā€• including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ā€• as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Alvan Ikoku Foundation.
Applicability and Governance of Agreement
that the Policy on Intellectual Property governsĀ any and all of your access, actions, activity, communication, operation, participation, or other use in, with, for, on behalf of, in reference to, or otherwise pertaining to The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, and the Products and Services, and that you agree to abide by, assist, fully cooperate with and not interfere with The Alvan Ikoku Foundation and their sole Founder and President, Alvan Azinna Chibuzo Ikoku in ensuring the compliance with and fulfillment of any and all terms, conditions, duties, principles, protections, rights and other requirements of the Policy on Intellectual Property.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation, or other use in, with, for, on behalf of, in reference to, or otherwise pertaining to The Alvan Ikoku Foundation and the divisions, series, subsidiaries, or affiliates ā€” directly or indirectly as further described below ā€” you are agreeing to the Policy on Intellectual Property as well as the Codes and PoliciesĀ that collectively constitute The Alvan Ikoku Foundation User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly ā€” whether engaged in through The Alvan Ikoku Foundation, the divisions, series, subsidiaries, or affiliates, and the Products and Services; or through persons and entities working with The Alvan Ikoku Foundation, the divisions, series, subsidiaries, or affiliates, and the Products and Services; or working with such engaged activities and resulting media, materials, or otherwiseĀ ā€” you are also agreeing to the Policy on Intellectual Property as well as the Codes and Policies that collectively constitute The Alvan Ikoku Foundation User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Policy on Intellectual Property and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Policy on Intellectual Property and Codes and Policies and agree to be legally bound by them (your ā€œAgreementā€).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication, or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication, or uses if you do not agree to all of the Policy on Intellectual Property or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Policy

ā€”Ā With respect to your ability to agree and consent to the Policy on Intellectual Property, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Policy on Intellectual Property, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit, or other use in relation to The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, and the Products and Services with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Policy on Intellectual Property.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Policy on Intellectual Property.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree that your consent meets the conditions, principles, and requirements for consent, as delineated and described in a these Codes and Policies ā€” for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Policies

ā€” You represent, warrant, and covenant that, given the above attestation about your consent to the Policy on Intellectual Property, you have read, understood, consented to, and agreed to be legally bound by and abide by the Policy on Intellectual Property and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Intellectual Property

ā€” You represent, warrant, and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to, and agreed to be legally bound by and abide by understandings of real and intellectual property as defined in all applicable law and regulation, by The Alvan Ikoku Foundation in the Codes and Polices, and as further delineated below, to be respected and not harmed or misused, in any way, by you.

Your Understanding of Property Rights

ā€” You represent, warrant, and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to, and agreed to be legally bound by and abide by understandings of real and intellectual property rights and proprietary rights as defined in all applicable law and regulation, by The Alvan Ikoku Foundation in the Codes and Polices, and as further delineated below, to be respected and not infringed or violated, in any way, by you.

Your Understanding of Property Protections

ā€” You represent, warrant, and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to, and agreed toĀ be legally bound by and abide by protections for real and intellectual property, and for proprietary rights and licenses in real and intellectual property,Ā as they are provided for andĀ definedĀ in all applicable law and regulation, by The Alvan Ikoku Foundation in the Codes and Polices, and as further delineated below, to be respected and not breached or violated, in any way, by you.

Your Commitment to Understandings

ā€” You also represent, warrant, and covenant that, given the aforementioned attestation, yourĀ commitment to this understanding of intellectual property, of real and intellectual property and proprietary rights, and of their protections shall entail the following:

Basis for Your Actions, Activity and Decisions
its basis for any activity you engage in with respect to The Alvan Ikoku Foundation ā€” includingĀ the divisions, series, subsidiaries, and affiliates, as well as the Products and ServicesĀ ā€” and that any such actions and decisions you engage in shall be free of any incompatibility with, inconsistency with, or violation of the Policy on Intellectual Property or any equivalent or applicable guidelines, laws, policies, provisions, or regulations.
Commitment to Property Rights
that this commitment include but not be limited to upholding everywhere, for every person and for all real and intellectual property at The Alvan Ikoku Foundation the most humane, protective, respectful, robust and strictest interpretations of real and intellectual property and proprietary rights.
Commitment to Property Protections
that this commitment include but not be limited to upholding everywhere, for every person, and for all real and intellectual property at The Alvan Ikoku Foundation the most humane, protective, respectful, robust and strictest interpretations of protections for real and intellectual property and for proprietary rights and licenses in real and intellectual property.
Commitment to Respectful and Protective Practices
that you respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable efforts taken by The Alvan Ikoku Foundation to translateĀ the above commitments into practices for developing and maintaining protections pertaining to real and intellectual property; for determining compliance with those protections; and for fulfilling, respecting, and safeguarding persons, properties, and interests relating to real and intellectual property, real and intellectual property processes,Ā real and intellectual propertyĀ principles, real and intellectual propertyĀ rights, and their protections, including but not limited to those delineated in this Policy and the Codes and Policies.
Commitment to Protections Following and Ahead of the Law
that you also respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable efforts taken by The Alvan Ikoku Foundation to adopt a coupled approach to legal and substantive measures and protections for real and intellectual property derived, in part, from the provision of rights and protections via advances in law and regulation, but also often beyond what the law provides for and protects.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Duty to the Policy

ā€”Ā With respect to your duty to the Policy on Intellectual Property, you represent and warrant that you understand and shall adhere to such duty by way of the following:

Refraining from Any Intentional Breach or Violation
avoiding, refraining from, and stoppingĀ any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any intentional breach or violation of the Policy on Intellectual Property; any intentional breach, diminishment, disruption, impediment, interference, or pertaining to real and intellectual property guidelines, laws, policies, provisions, or regulations, or other real and intellectual property protections or rights of The Alvan Ikoku Foundation and the sole Founder, Chair, and President; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.

avoiding, refraining from, and stoppingĀ any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach or violation of the Policy on Intellectual Property; any unintentional breach, diminishment, disruption, impediment, interference, or pertaining to real and intellectual property guidelines, laws, policies, provisions, or regulations, or other real and intellectual property protections or rights of The Alvan Ikoku Foundation and the sole Founder, Chair, and President; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Reporting Any Intentional Breach or Violation
reporting ā€” directly and specifically to Alvan Azinna Chibuzo Ikoku, the Founder, Chair, and President of The Alvan Ikoku Foundation ā€”Ā any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage inĀ that may encourage, result in, or otherwise foster any intentional breach or violation of the Policy on Intellectual Property; any intentional breach, diminishment, disruption, impediment, interference, or pertaining to real and intellectual property guidelines, laws, policies, provisions, or regulations, or other real and intellectual property protections or rights of The Alvan Ikoku Foundation and the sole Founder, Chair, and President; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Reporting Any Unintentional Breach or Violation
reporting ā€” directly and specifically to Alvan Azinna Chibuzo Ikoku, sole Founder, Chair, and President of The Alvan Ikoku Foundation ā€”Ā any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach or violation of the Policy on Intellectual Property; any unintentional breach, diminishment, disruption, impediment, interference, or pertaining to real and intellectual property guidelines, laws, policies, provisions, or regulations, or other real and intellectual property protections or rights of The Alvan Ikoku Foundation and the sole Founder, Chair, and President; and any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the independent and executive control and determination of the above by the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku.
Determination of Compliance
not diminishing or interfering with, in any way, the ability, opportunity, and sole discretion and rights of The Alvan Ikoku Foundation and the sole Founder, Chair, and President, Alvan Azinna Chibuzo Ikoku, to determine compliance with the Policy on Intellectual Property and to haveĀ their decision be final and binding and not subject to challenge or appeal.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Accordance with Ethics

ā€” You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the Founding and Governing Code of Ethics.

Your Accordance with Mission

ā€” You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the founding mission and purposes of The Alvan Ikoku Foundation, without incompatibility, as described and delineated in the Codes and Policies and the Founderā€™s Declaration of Trust.

Further Considerations

Your Knowledge and Agreement

The Alvan Ikoku Foundation strongly recommend you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Policy on Intellectual Property, as well as the Codes and Policies. The Alvan Ikoku Foundation take your continued visiting and use of the Products and Services, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.

Your Duty to Corporate Integrity

With respect to your attendant duty to corporate and organizational integrity ā€” and your legally binding agreement to not diminish, interfere, or violate, in any way, its principles, protections, requirements, or rights ā€”Ā you represent and warrant that you understand and shall adhere to the following:

Your Duty to Policy
To protect the corporate and organizational integrity of The Alvan Ikoku FoundationĀ ā€” as well as the properties, rights, and protections of the corporationĀ and its official persons ā€” The Alvan Ikoku FoundationĀ require all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on CorporateĀ Integrity.
Your Acceptance of Policy
The Alvan Ikoku FoundationĀ remind you that the Policy on Corporate Integrity forms part of The Alvan Ikoku FoundationĀ User Agreement and Code of Conduct. Thus, The Alvan Ikoku FoundationĀ take your continued access, activity, communication, engagement, operation, participation, and other use or visiting as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.
Your Acceptance of Administration
Furthermore, you represent, warrant, and covenant that, given the above, your continuation in using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties ofĀ The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, is an active indication of your legally binding acceptance of the executive administration, control, and management of The Alvan Ikoku FoundationĀ by the Founder, Alvan Azinna Chibuzo Ikoku, as further described in the Policy on CorporateĀ Integrity.

And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights ā€” including the attendant properties and protections ā€” of corporateĀ and organizational integrity.

Provision

Along with the above key principles, the Policy on Intellectual Property requires your adherence to a number of requirements, as delineated below.

A ā€” Standard and Global Protections

Scope of Protections

ā€” With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Alvan Ikoku Foundation, you represent, warrant, and covenant your adherence toĀ the following:

Application, Ownership, Registration
that The Alvan Ikoku Foundation shall apply for, hold and use intellectual property including but not limited to copyrights, logos, names, patents, slogans, symbols, service- and trademarksĀ ā€” awarded fully and solely to The Alvan Ikoku Foundation and The Alvan Ikoku Philanthropies, the latter being a division of The Alvan Ikoku Group LLC (ā€œThe Ikoku Philanthropiesā€ as a division of ā€œThe Ikoku Groupā€) and fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku ā€” and such intellectual property and the above ownership and trusteeship shall be upheld and protected by corporate and organization policy and by state, federal and international laws.
Under Copyright, Patent and Mark
that assets, content, data, information, media, material and other intellectual real and propertyĀ associated with, contained within or owned byĀ The Alvan Ikoku Foundation shall also be under copyright, patent, service- and trademark ā€” fully and solely belonging to The Alvan Ikoku Foundation andĀ The Ikoku Philanthropies and fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku ā€” and such intellectual property and the above ownership and trusteeship shall be upheld and protected by corporate and organization policy and by state, federal and international laws.
Scope of Usage Protection
that the use of such assets, content, data, information, media, material and other real property, as well as copyrights, logos, names, patents, slogans, symbols, service- and trademarks and other intellectual property associated with, contained within or owned byĀ The Alvan Ikoku Foundation shall also be protected by corporate and organization policy and by state, federal and international laws.
Activities Under Usage Protection
that The Alvan Ikoku Foundation require and ensure such protected usage includes, but is not limited to, that occurring during administration, management, governance and operations; care, consulting, education, research, development, training, writing and other work activity; user activity, engagement, interaction, participation and visiting; affiliation, collaboration and partnership; as well as third-party and volunteer arrangements.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Sole Ownership And Authorization

ā€” With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Alvan Ikoku Foundation, you represent, warrant, and covenant your adherence toĀ the following:

Sole Ownership by Foundations
that real and intellectual property and associated applications, proprietary rights and licenses and other equivalent protections, permissions and usages associated with, contained within and owned by The Alvan Ikoku Foundation shall be fully and solely ascribed to and owned by The Alvan Ikoku Foundation and The Ikoku Philanthropies and be fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku.
Sole Authorization for Use by Founder
that any and all usage of real and intellectual property associated with, contained within and owned by The Alvan Ikoku Foundation shall be approved, reviewed and authorizedĀ solely by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and President.
Adherence to Permission
that The Alvan Ikoku Foundation require and ensure any and all usage approved, reviewed and authorized as described above, and any person or party granted the above usage approval and authorizationĀ strictly adheres to the terms of the granted permission, those of this Policy and applicable laws and regulations.
No Rights Accrual
that The Alvan Ikoku Foundation require and ensure any and all usage approved, reviewed and authorized as described above, and any person or party granted the above usage authorization and approval help The Alvan Ikoku Foundation and The Ikoku PhilanthropiesĀ in protecting their valuable intellectual property assets and rights, and furthermore understands and accepts that, except for the specifically limited right to use as expressly permitted by the received written authorization and by this Policy, no other rights of any kind are granted hereunder, by implication or otherwise.
Sole Inurement to Foundations
that the property and goodwill derived from using any part of copyright, logo, name, patent, slogan, symbol, service- or trademark, or any other intellectual property associated with, contained within or owned by The Alvan Ikoku Foundation exclusively inure to the benefit of and belong to The Alvan Ikoku Foundation and The Ikoku Philanthropies and be fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification ā€” and you thus also accept and agree that neither you nor any other person or entity shall acquire any right, title or interest in any of the aforementioned or The Alvan Ikoku Foundation-associated, -developed or -owned real and intellectual property, including by nature of permitted usage of said real and intellectual property, or by using, visiting, working for, or collaborating with The Alvan Ikoku Foundation, any of the divisions, series, subsidiaries, or affiliates, and any of the Products or Services.

Your Acknowledgment and Agreement

ā€” With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Alvan Ikoku Foundation, you represent, warrant, and covenant your adherence toĀ the following:

Acknowledgment of Sole Ownership

Agreement to Not Interfere
you also thusĀ legally agree and promise that you will not interfere with The Alvan Ikoku Foundationā€™ and The Ikoku Philanthropiesā€™Ā ownership or the Founderā€™s trusteeship of rights in copyright, logo, name, patent, slogan, symbol, service- or trademark, or any other intellectual property associated with, contained within or owned by The Alvan Ikoku Foundation,Ā including challenging The Alvan Ikoku Foundationā€™, The Ikoku Philanthropiesā€™Ā or the Founderā€™s development, use, registration of, or application to register such copyright, logo, name, patent, slogan, symbol, service- or trademark, or other intellectual property, alone or in combination with other words, materials, or assets, anywhere in the world.
Agreement to Not Harm or Misuse
youĀ also thus legally agree and promise that you will not harm, misuse or bring into disrepute any copyright, logo, name, patent, slogan, symbol, service- or trademark, or any other intellectual property associated with, contained within or owned by The Alvan Ikoku Foundation.
Adherence to Permission
you also thus legally agree that any and all usage approved, reviewed and authorized as described above and granted to you strictly adheres to the terms of the granted permission, those of this Policy and applicable laws and regulations.
No Rights Accrual
you also thus legally agree that any and all usage approved, reviewed and authorized as described above and granted to you commits you to helping The Alvan Ikoku Foundation and The Ikoku PhilanthropiesĀ in protecting their valuable intellectual property assets and rights, and that you thus furthermore understand and accept that, except for the specifically limited right to use as expressly permitted by the received written authorization and by this Policy, no other rights of any kind are granted to you or hereunder, by implication or otherwise.

Appearance of External Intellectual Property
any and all External Intellectual Property that appears on The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, are by third parties who have granted The Alvan Ikoku Foundation permission to use the material as it appears ā€” or such outside intellectual property appears under fair-use, unrestricted and worldwide or equivalent license to use.

Such approval may be granted or withheld by this Founder and The Alvan Ikoku Foundation at their sole and absolute discretion.

D ā€” Third-Party Use

Authorization and Approval

ā€”Ā Notwithstanding any provisions of this Policy, the Codes and Policies, other official or governance documents of The Alvan Ikoku Foundation, or applicable state, federal or international law, agreement and treaties, only Alvan Azinna Chibuzo Ikoku, the sole Founder and President of The Alvan Ikoku Foundation,Ā shall approve, review and authorize, in rare instances and by express and written instrument signed and sealed, the provision or use of any The Alvan Ikoku Foundation-associated, -developedĀ or -owned branding, franchise, license or any other use of anyĀ The Alvan Ikoku Foundation-associated, -developedĀ or -owned content, content, copyright, data or information, design, logo,Ā media, material,Ā name, patent, slogan, symbol, text, service- or trade mark, or variations thereof, Ā or any other proprietary material or intellectual property belonging to or on behalf of The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, as well as the Products and Services.

Required Use Agreement and Guidelines

ā€”Ā Where such approval is granted by the above Founder, Alvan Azinna Chibuzo Ikoku, The Alvan Ikoku Foundation shall ā€” in addition to aforementioned requirements for giving and maintaining valid authorization and approval for permitted useĀ ā€” for each case craft and publicize express and written Franchise, License or Third-Party Use Guidelines, as well as an express and written Franchise, License or Third-Party Use Agreement, both also reviewed and approved by the above Founder by written instruments signed and sealed, specifying the following:

Terms of Restricted Franchise, License, Use
the explicit terms of aĀ highly restricted franchise or license to use the specified intellectual property of The Alvan Ikoku Foundation and The Ikoku Philanthropies.
Terms of Restricted Time Period
the explicit terms of aĀ highly restricted time period for the franchise or license to use the specified intellectual property of The Alvan Ikoku Foundation and The Ikoku Philanthropies.
Terms of Restricted Activities

Monitoring Fundraising

ā€”Ā Where such approval is granted by the above Founder, Alvan Azinna Chibuzo Ikoku, for fundraising on behalf of The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, or the Products and Services, The Alvan Ikoku Foundation shall ā€” in addition to aforementioned requirements for giving and maintaining valid authorization and approval for permitted useĀ ā€” for each case craft and publicize express and written Third Party Fundraiser Guidelines, as well as an express and written Third Party Fundraiser Agreement, both also reviewed and approved by the above Founder by written instruments signed and sealed, specifying the following:

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

E ā€” Protected Usage on The Sites

Authorization and Management

ā€”Ā Notwithstanding any provisions of this Policy, the Codes and Policies, other official or governance documents of The Alvan Ikoku Foundation, or applicable state, federal or international law, agreement and treaties, the Sites of The Alvan Ikoku Foundation, as defined in the Codes and Policies section, are wholly owned by The Alvan Ikoku Foundation and The Ikoku PhilanthropiesĀ and are under executive management of solely the Founder and President, Alvan Azinna Chibuzo Ikoku, and only this Founder and President shall approve, review and authorize any activity, communication, operation, participation, and other use or visit of the Sites, including the submission, dissemination, and other use of any content, content, copyright, data or information, design, logo,Ā media, material,Ā name, patent, slogan, symbol, text, service- or trade mark, or variations thereof, Ā or any other proprietary material or intellectual property, either belonging to or on behalf of users, visitors and other external persons or belonging to or on behalf of The Alvan Ikoku Foundation, the divisions, series, subsidiaries, and affiliates, as well as the Products and Services.

Additional Protections for the Sites

ā€” With respect to any and all real and intellectual property associated, contained, developed, or otherwise used with, within, in reference to or in relation to the Sites, as well as the Products and Services, you represent, warrant, and covenant your adherence to and compliance with the following additional protections:

Content of Sites as Protected
the Sites, and all of the content they did, currently do or in the future may containĀ ā€”Ā including but not limited to applications, articles, audio, audio files, designs,Ā directories,Ā goods,Ā graphics,Ā guides, information, music, photographs, software, text, video, as well as the code, copyrights, domain names, logos, patents, slogans, symbols, service- and trade-marks, trade dress, trade names and any other form of intellectual property that relates to the Sites ā€”Ā are owned by or licensed by The Alvan Ikoku Foundation and The Ikoku Philanthropies, fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku, and are protected from any unauthorized copying, dissemination or other use by copyrights, patents, service- and trade-marks, international treaties and other proprietary rights and laws of the US and other countries.
Sites Protected as Collective Work and Individual Works
the Sites are also protected and recognized as a collective work or compilation under state, federal and international intellectual property law and treatiesĀ and US copyrightĀ ā€” wholly belonging to and owned by The Alvan Ikoku Foundation and The Ikoku Philanthropies, and fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku ā€” and all individual articles, columns and other contributions and elements making up the Sites are also copyrighted works licensed to be used as part of the Sites. No appearance, provision, submission or other use or processing of individual articles, columns and other contributions and elements, or of User Content as defined in this Policy, shall affect, change, diminish or otherwise impact the recognition, protection and whole and sole ownership of the copyright of the Sites as described here and in this Policy.
Your Acknowledgement of Value and Rights
you acknowledge that the Sites have been conceptualized, developed, disseminated, managed, maintained, revised and otherwise produced by The Alvan Ikoku Foundation and The Ikoku Philanthropies through the development and application of substantial creativity, discernment, effort, ideas, methodological attention, money, practice, research, time and equivalent resources, and constitutes valuable intellectual property of The Alvan Ikoku Foundation and The Ikoku Philanthropies ā€”Ā fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku ā€”Ā and where applicable, attributed and cited External Intellectual Property, content and sources.
Your Agreement to Abide
you agree to abide by all applicable copyright, patent, trademark, intellectual property and other laws, as well as any additional copyright and intellectual property notices or restrictions contained in the Sites.
Your Further Agreement to Protect
you agree to protect the real and intellectual property and proprietary rights of The Alvan Ikoku Foundation and The Ikoku Philanthropies during and after the term of your access, activity, communication, operation, participation, or other use or visit in, within, with, of, for, on behalf of or otherwise pertaining to the Sites, and to comply with all reasonable written requests made by The Alvan Ikoku Foundation and The Ikoku Philanthropies to protect real and intellectual property and proprietary rights pertaining to the Sites.
Your Further Agreement to Notify
you agree to notify The Alvan Ikoku Foundation and The Ikoku Philanthropies, as well as this Founder, in writing promptly upon becoming aware of any unauthorized access, activity, communication, operation, participation, or other use or visit of the Sites by any individual or entity or of any claim that any person or any access, activity, communication, operation, participation, or other use of the Sites infringes upon any intellectual property or proprietary rights.
Exclusive Present and Future Rights
all present and future rights in and to copyrights, know-how,Ā patents, service- and trademarks, trade secrets and other intellectual property and proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Sites shall, as between you and The Alvan Ikoku Foundation and The Ikoku Philanthropies, at all times be and remain the sole and exclusive property of The Alvan Ikoku Foundation and The Ikoku Philanthropies, fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku.

ā€” and all present and future rights in and title to the Sites (including the right to deploy, manage and otherwise produce or use the Sites and any portions of the Sites over any present or future technology) are reserved to The Alvan Ikoku Foundation and The Ikoku Philanthropies for their exclusive use, and fully and solely held in trust by the Founder, Alvan Azinna Chibuzo Ikoku.

Authorized Use of Sites
except as specifically permitted by written authorization and approval granted by this Founder, as described in prior sections of this Policy, or as permitted more generally in this Policy, or in these Codes and Policies, you may not copy or make any use of the Sites or any portion thereof.
Authorized Use of Property and Rights on Sites
except as specifically permitted herein, you shall not use any intellectual property rights of the Sites, or The Alvan Ikoku Foundation and The Ikoku Philanthropies, or the names of any individual participant in, or contributor to, the Sites, or any variations or derivatives thereof, for any purpose, without Ā prior written approval and authorization of The Alvan Ikoku Foundation, The Ikoku PhilanthropiesĀ and the Founder as described above.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of The Alvan Ikoku Foundation, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

The Limited Permission to You

ā€”Ā With respect to the scope and nature of a limited permission The Alvan Ikoku FoundationĀ grant to you during your access, activity, communication, operation, participation, and other use or visit with, within, for, on behalf of, in reference to, or otherwise pertaining to the Sites, as well as other Products and Services (ā€œThe Limited Permissionā€), you represent, warrant, and covenant your adherence to and compliance with the following:

The Limited Permission
that your activity, communication, operation, participation, and other use pertaining to the Sites, or other Products and Services, shall be wholly consistent with a revocable, non-exclusive, non-transferable, limited permission ā€” temporarily granted to you by The Alvan Ikoku Foundation and The Ikoku PhilanthropiesĀ ā€” solely to access and display within the Sites authorized, public-facing, non-restricted access parts and sections of the Sites, or other Products and Services, for authorized uses as anĀ authorized, consenting and identified browser or visitor, customer or potential customer, or user or potential user ā€” and in a manner and mode that is viewable and reviewable by The Alvan Ikoku Foundation and The Ikoku Philanthropies and specifically the Founder and President, Alvan Azinna Chibuzo Ikoku.
No Other Rights or Licenses
that ā€” except for the limited permission described above ā€” The Alvan Ikoku Foundation and The Ikoku Philanthropies do not grant you any express or implied rights or licenses, whether under any copyrights, patents or service- and trademarks,Ā or other proprietary or intellectual property rights.
No Mirroring of Content or Section Elsewhere
that you shall not mirror any content, data and information, feedback, part or section of the Sites, or other Products and Services, on another product, service or site or in any other media.
All Software Governed by Policies
that any software and other materials made available at the Sites, or other Products and Services for your access, downloading or other use, even with their own license terms, shall also be governed by this Policy, the Codes and Policies and copyright, trademark and other proprietary notices provided by The Alvan Ikoku Foundation and The Ikoku Philanthropies.
Continued Validity of Limited Permission
that the limited permission described above shall remain validĀ provided you comply with this Policy and all copyright, trademark and other proprietary notices are followed, observed and remain intact.
Not For a Purpose Deemed Illegal or Inconsistent with Policies
that your activity, communication, operation, participation, and other use pertaining to the Sites, or other Products and Services, shall not be for any illegal purpose, for the facilitation of the violation of any law or regulation, or in any manner inconsistent with the Terms, the Codes and Policies, the Founding Code of Ethics, and the cautions and prohibitions described in the Acceptable Use Policy.
Not In a Manner that Competes with Foundations or Founder
that your activity, communication and otherĀ use pertaining to the Sites, or other Products and Services, shall not be for any purposes or in any mannerĀ that could compete with any of the activities, businesses and purposes of The Alvan Ikoku Foundation, The Ikoku Philanthropies, the divisions, series, subsidiaries, or affiliates, or the Founder and President, Alvan Azinna Chibuzo Ikoku.
Termination Upon Non-Compliance
that your failure to comply with the Terms, Codes and PoliciesĀ or any of the notices on the Sites, or other Products and Services, will result in automatic termination of any rights granted to you, without prior notice, and in such a case you agree that you must immediately destroy all copies of downloaded materials in your possession, custody or control.

Limited Permission for User Feedback

Your Retention of Rights
that you ā€” as aĀ contributor, participant, user, visitor or equivalent person using and visiting the Sites, other Products and Services, as well as The Alvan Ikoku Foundation ā€” retain intellectual property and proprietary rights for your User Content.
Your Granting of License to The Foundations and Philanthropies
that you ā€” as aĀ contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, other Products and Services, as well as The Alvan Ikoku Foundation ā€” grant to The Ikoku Foundations and The Ikoku PhilanthropiesĀ a perpetual, nonexclusive, irrevocable, fully paid, royalty-free, sub-licensable and transferable (in whole or in part) worldwide right and license to exercise all now or later existing intellectual property rights or other rights of yours or othersĀ in any and all of the User Content, now known or later developed, in full or in part, for purposes of supporting the corporate mission and purposes (as determined by the discretion of The Alvan Ikoku Foundation, The Ikoku PhilanthropiesĀ and the Founder and President from time to time) and in all possible media now known or later developed. The foregoing rights include (but are not limited to), the right to adapt, copy, create derivative works based upon, curate, display, disseminate, distribute, modify, perform, publish in public or private venues (sites, newspapers or other media, brochures, reports and so on), read (on air or otherwise), reproduce, transform, translate, transmit digitally and otherwise use for any purpose whatsoever (including, without limitation, advertising, commercial, promotional and publicity purposes) in The Alvan Ikoku Foundationā€™, The Ikoku Philanthropiesā€™Ā and this Founderā€™s discretion without additional notice, attribution or consideration to you or to any other person or entity. Such additional uses by The Alvan Ikoku Foundation and The Ikoku PhilanthropiesĀ are made with no compensation to you with respect to your User Content as the use of the Sites and other Products and Services is hereby agreed as being sufficient compensation for your User Content and grant of rights herein.
Your Attestation to Being Original Creator

that youĀ ā€” as aĀ contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services ā€” represent and warrant that the User Content you submit are truthful and accurate; that use of suchĀ User Content does not violate any of the Codes and Policies and will not cause injury to any person or entity; and that you will indemnify The Alvan Ikoku Foundation, The Ikoku Philanthropies, The Ikoku Group,Ā the Founder and President, leadership, employees, staff, contractors, volunteers, partners, representatives, agents, third parties, successors and assigns for all claims resulting from suchĀ User Content.

Your Agreement about Non-Claim of Violation

Your Acknowledgement of Non-Fiduciary Relationship
that youĀ ā€” as aĀ contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services ā€” hereby acknowledge and agree that your relationship with The Ikoku FoundationsĀ or The Ikoku PhilanthropiesĀ is not a beneficiary, confidential, controlling, decision-making, fiduciary, ownership, or other equivalent relationship, and that your decision to submit any User ContentĀ to the Sites, other Products and Services or to The Ikoku FoundationsĀ does not confer, provide or place you in such a relationship with The Ikoku Foundations, The Ikoku PhilanthropiesĀ or this Founder and President and furthermore does not place you in a position with respect to The Ikoku Foundations, The Ikoku PhilanthropiesĀ or this Founder and President that is any different from the position held by members of the general public with regard to your User Content and User Feedback.
Your Attestation to Understanding
that youĀ ā€” as aĀ contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and ServicesĀ ā€” herebyĀ agree that the above contains the full and complete understanding between The Alvan Ikoku Foundation, The Ikoku Philanthropies, The Ikoku Group,Ā this Founder and President and you regarding The Alvan Ikoku Foundationā€™ and The Ikoku Philanthropiesā€™Ā use of your User Content and cannot be modified except by a written instrument signed by The Alvan Ikoku Foundation, The Ikoku Philanthropies,Ā this Founder and President and you.
Authorized Use of Sites
